Pilot – Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the Axion Pilot Digital Signage and Player system, including all associated software, hardware, interfaces, and services (collectively, the “System”) provided by Axion Displays GmbH (“Company,” “we,” “us,” or “our”).

By installing, accessing, or using the System, you (“User” or “you”) agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease all use of the System.

1. Use of the System

1.1 License: Subject to your compliance with these Terms, Axion Displays GmbH grants you a limited, non-exclusive, non-transferable, revocable license to use the System solely for your internal business purposes.

1.2 Restrictions: You shall not (a) modify, reverse engineer, decompile, or disassemble the System; (b) rent, lease, or sub-license the System; (c) use the System for any unlawful purpose; or (d) attempt to gain unauthorized access to the System’s backend or servers.

2. User Content and Responsibility

2.1 Content Ownership: You retain all rights to the media, text, images, videos, and other content (“Content”) you upload, display, or transmit via the Axion Pilot System.

2.2 Sole Responsibility: You are solely responsible for the legality, accuracy, and appropriateness of all Content displayed through the System. Axion Displays GmbH does not monitor, review, or endorse any Content.

2.3 Prohibited Content: You agree not to display Content that is defamatory, obscene, infringing on intellectual property rights, or otherwise illegal.

3. Disclaimer of Warranties (System Provided “As-Is”)

3.1 No Warranties: THE SYSTEM IS PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, AXION DISPLAYS GMBH EXPLICITLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

3.2 System Reliability: We do not warrant that the System will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee against screen burn-in, hardware failure, data loss, or server downtime. You use the System entirely at your own risk.

4. Absolute Limitation of Liability

4.1 Exclusion of Damages: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AXION DISPLAYS GMBH, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR HARDWARE DAMAGE ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SYSTEM.

4.2 Maximum Liability: UNDER NO CIRCUMSTANCES SHALL AXION DISPLAYS GMBH’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SYSTEM EXCEED THE AMOUNT OF ZERO EUROS (€0.00), OR, IF SUCH EXCLUSION IS PROHIBITED BY LAW, THE TOTAL AMOUNT PAID BY YOU TO AXION DISPLAYS GMBH FOR THE SPECIFIC SERVICE CAUSING THE DAMAGE IN THE ONE (1) MONTH PRECEDING THE CLAIM.

4.3 Acknowledgment: You acknowledge that Axion Displays GmbH has set its pricing in reliance upon these limitations of liability, and that these limitations form an essential basis of the bargain between the parties.

5. Indemnification

You agree to defend, indemnify, and hold harmless Axion Displays GmbH, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from:

(a) Your use of and access to the System;

(b) Your violation of any term of these Terms;

(c) Your violation of any third-party right, including without limitation any copyright, property, or privacy right relating to the Content displayed via the System; or

(d) Any claim that your Content caused damage to a third party.

6. Modifications and Termination

6.1 Modifications: Axion Displays GmbH reserves the right to modify or replace these Terms at any time without prior notice. Continued use of the System following any changes constitutes acceptance of the new Terms.

6.2 Termination: We may terminate or suspend your access to the System immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the System will immediately cease.

7. Force Majeure

Axion Displays GmbH shall not be liable for any failure to perform its obligations under these Terms if such failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, strikes, server outages, telecommunications failures, or governmental actions.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of [Insert Country/Jurisdiction, e.g., the Netherlands or Germany], without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in [Insert City, e.g., Alkmaar], and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

9. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect. The invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.
